内部资本市场理论综述 摘 要：内部资本市场理论是研究企业内部资金配置最重要的理论之一，20世纪90年代以后，其研究开始规范化，不少经济学家提出了一些有益的见解，它对于研究企业投资行为起到了相当重要的作用。而且，新兴市场国家正在逐步接受并实践这些理论。因此，对该理论进行系统研究就很有必要。本文围绕内外部资本市场的区别、内部资本市场的存在性、配置效率及最优规模等几个方面对已有的文献进行归纳和梳理，旨在为进一步的研究提供一个逻辑起点。 关键词：内部资本市场；资本配置；存在性；配置效率；最优规模 A Survey of the Theory of Internal Capital Markets Abstract:The theory of internal capital markets (ICM) is one of the most important theories to study the allocation of the internal funds within firms. The research became formal since 1990’s, and many economists put forward some useful views, which are very useful for the research of firms’ investment behavior. What’s more, these theories are gradually accepted and practiced in emerging markets. Therefore, it’s necessary to systematically study the theory of ICM. This paper organizes the material around the following questions, the differences between internal and external capital markets, the existence, the allocating efficiency and optimal size of ICM. The goal of this paper is to provide a logic foundation for further research. 国有企业集团内部资本市场运作模式及启示 国有企业集团内部资本市场运作模式及启示 ————基于哈药集团的研究基于哈药集团的研究 基于哈药集团的研究 2013年11月04日 规模经济优势和“统一领导，分级管理”模式，使国有企业集团内部资本市场的存在和运 作成为可能。哈药集团是大型国有企业，较早完成了内部资本市场构建，并通过对内部资本市场的有效运作，不断促进企业集团内部资源的优化配置，实现企业价值最大化。鉴于此，笔者以哈药集团内部资本市场作为研究对象，研究其运作模式，分享哈药集团内部资本市场运作的成功经验，提出内部资本市场构建的有效模式，以期对我国国有企业集团内部资本市场的构建和有效运作提供借鉴。 一、内部资本市场研究现状 内部资本市场研究现状 (一)国外对内部资本市场的研究。经济学家威廉姆森(Williamson，1975)最早提出内部资本市场(ICM)的概念，认为：“这些体现M 型组织原则的联合大企业，最好还是将其看成一个内部资本市场，因为它把各条渠道的现金流量集中起来，投向高收益的领域。”ICM 的存在是因为其在监督、激励、内部竞争、资本的低成本配置等方面具有外部资本市场不可比拟的优势。ICM 多存在于大型企业集团当中，基于企业的多元化、内部资金集中管理和规模经济等特点，大型企业集团运用ICM 进行资源有效配置更能提高企业的资金使用效率。对ICM 的研究，国外先于国内。国外Alchian(1969)、Williamson(1975)、Myers & Majluf(1984)等对ICM 进行了早期研究。其中Alchian(1969)较早提出了ICM 的关键是它规避了投资项目信息的披露以及困扰外部资本市场(ECM)的激励问题。其后，相继有很多学者对ICM 作了多视角的深入研究，包括理论研究和实证分析，但研究结论多倾向于发现在国外企业集团中ICM 效率普遍较低。尤其是金融危机后一些学者对韩国、日本等一些企业的ICM 进行了实证研究，发现其效率与金融危机前相比有降低趋势。 (二)国内对内部资本市场的研究。国内在20世纪末才开始有人关注ICM 问题，但引起广泛关注并陆续开展研究则是从进入21世纪后逐渐开始的，日前对ICM 的研究还主要处于理论探讨阶段。卢建新(2006)对ICM 进行了比较系统的综述；冯丽霞、范齐芳(2007)对我国国有企业集团ICM 效率进行了影响因素的分析，构建了影响国有企业集团ICM 效率因素的综合模型；叶康涛、曾雪云(2011)的分析表明内部资本市场的经济后果受集团战略和投资者保护的双重影响：专业化战略可以降低集团信息不对称问题、抑制经理人代理成本，而投资者保护可以缓解企业集团的外部融资约束，抑制大股东财富转移。但在诸多研究中，对ICM 效率进行专向研究的学者较少，尤其对具体企业进行ICM 深入研究的数量则更少，据笔者统计，截至2011年6月，进行案例企业ICM 运作效率研究的文献不足10篇。信息不对称和“逆向选择”使研究企业内部问题比较困难。笔者参加了哈尔滨国资委直属企业调研课题，对哈药集团进行了更加深入的了解，从而能够对哈药集团ICM 运作问题展开较系统的研究。 二、哈药集团内部资本市场构建与运作 哈药集团内部资本市场构建与运作 (一)哈药集团内部资本市场的构建基础。哈药集团积极响应深化国企改革的号召，逐步探索适合自身发展的改革战略，吸引外部资源，优化企业架构，有效运作ICM，使企业在国企改革的过程中脱颖而出。 哈药集团组建于20世纪80年代末，2005年通过增资扩股改制成为国有控股的中外合资企业。2004年12月，哈药集团与中信资本冰岛投资有限公司、华平冰岛投资集团、黑龙江辰能哈工大高科技风险投资有限公司三家公司正式签署《重组增资协议》。三家公司以现
