Onda’s customer groups is intersected with our company’s customer groups. The products of Onda, such as Tablet PC and Mp3, is designed for young customers who are lively and playful.Similarly, our products is also for this groups.So,we can merger this company.

2.We can use Onda’s electronic research techniques.

In the production of electronic products, Onda has a strong R & D technology.

And the existing toy market is already saturated.Therefore, if we merger Onda, we can use its core technology to combined with our original technology to product new high-tech products, such as consoles.

3.We can use Onda’s comprehensive network of sales channels.

In China ,it is the first company to establish a national IT channel system. Today's Onda have established 32 regional distribution centers in China, 20 technical service centers. Offices and agents in more than 200 cities and towns have been all over China. Once the merger success, we can use the sales channels, which Onda has built, to sell its own toys. On the one hand, we can increase our sales revenue.On the other hand, we can save the cost of the Chinese market -developing.

From Onda’s perspective, there are two reasons can prove the acquisitions can be achieved.

1.All along, Onda has been developed in the domestic market.In the domestic

market, its development has basically saturated, it is urgent to broaden the overseas market.

2.Currently, it is a growth-oriented enterprises.Although the company is not large in
