美锦能源集团成立于1984年，总部位于在山西省清徐县贯中大厦，法人代表为姚巨货先生。美锦能源集团是目前全国最大的商品焦生产企业之一，业务涉及原煤生产、煤炭洗选、冶金焦铸造焦生产、煤气煤焦油回收及深加工、热电联产、建材运输等业务，是供省城和太原市煤气的气源厂。集团被评为太原市制造企业50强的第三名，山西省企业排名第15位，山西省焦化企业排名第一位，多次被评为“全国最佳经济效益乡镇企业”、被多家银行授予“AAA级信用企业

吨，煤焦油生产能力15万吨，年产粗苯5万吨。正在建设200万吨特钢生产线，第一期年产100万吨。此外，公司采取独自收购、合资参股等多种形式，获准数个煤矿的经营权或探矿权。

四、项目概况

1、项目内容：美锦集团兴县锦鑫煤矿井田面积45.15平方公里，煤炭地质储量为74403万吨。主要可采煤两层：8号煤为富灰、特低硫、特低磷、高挥发份气煤；13号煤为中灰、低硫、特低磷、高挥发份气煤。矿井资源回收率60%，矿井服务年限为70年。

2、项目估算：项目总投资为21875万美元，其中6562.5万美元为企业自筹，其余15312.5万美元拟申请银行贷款或其他途径解决。

3、项目建成后市场预测及效益分析：按原煤售价268元/吨计算，年利润总额为9027.38万美元，所得税后利润为6048.345万美元，投资利润率为40%，投资利税率为48.43%，投资回收期税后为7.8年。

项目投产后，可给市场提供5.0Mt/a的优质炼焦用煤，缓解由于关闭小煤窑造成煤炭市场供求紧张局面。同时，对城镇建设和解决当地人员就业，带动相关产业发展起到积极作用。

4、项目配套条件：35KV双回路供电电源距离1520公里，交通以公路为主，距兴县至临县公路10公里。投产后待兴县魏家滩铁路专用线和苛岚至岚县铁路通车后接轨建设铁路专用线。

符合国家与我省产业政策，申报核准，已经国土、环保、城建规划等部门初审同意。

III. Brief introduction of the project sponsor:

Meijin Energy Group was founded in 1984, Its head office is located in the Quanzhong Mansion, Qingxu County, Shanxi Province. The artificial person is Mr. Juhuo Yao. Meijin Energy Group is one of the largest commerce coke production enterprise of the domestic industry. The business scope covers the production of raw coal, coal washing & separating, metallurgy coke and casting coke production, the coke-oven gas and tar recycling and reprocessing, thermo-electric coupling production, building material transportation etc.It's the gas resource plant for Taiyuan city. The group has been evaluated as the No.3 on the 50 excellent manufacturing enterprises list of Taiyuan City, No.15 of the provincial excellent enterprises, No.1 of the carbonization enterprises of Shanxi Province. It has been appraised as the "national best economy benefit towns enterprise as well as the AAAA class credit enterprise" by the banks. The current annual production capability of metallurgy coke and superfine coke casting is 5million tons, the refined coal washing capability is 10million tons, the coke-oven gas is 150,000tons, the crude benzene is 50,000tons. A superfine steel production line with the capacity of 2million tons are under construction, and the first phase is expected to be 1million tons. In addition, the enterprise has obtained the operation and exploration right for several coal mines by the way of purchasing, joint venture and joint stocks.

IV. Project Survey:

a. Content the project: The area of Jinxin Coal Mine in Xing County is covering 45.15 square kilometers，the coal reserves is 744.03million tons. The coal layer：No. 8 is the fat coal ash, extreme low sulfur, extreme low phosphor, high volatilization gas coal; No.13 are middle ash, low sulfur, extreme low phosphor, high volatilization gas coal. The recycling rate of the mine resource is 60%, the service span of the mine is 70 years.

b. The total project investment: The total investment on project is USD218.75millions. The sponsor pays USD65.625millions, the balance of USD153.125millions is to be obtained from bank or other sources.

c.The sales prediction and the benefit analysis: Basing on the present price of CNY268/ton, the annual profit is USD90.2738 millions, the profit after Income Tax is USD60.48345millions, the profit rate of the investment is 40%, the profit & tax rate is 48.43%, the payback period is 7.8years. After the production, it may supply the excellent coal for coke with the capacity of 5.0Mt/a, to release the nervous supplying situation of the carton and coal market. Meanwhile, it will also effect significantly to provide the job opportunities and boom the related industries.

d.The construction conditions: The 35KVdouble loops power source is far from the site with the distance of 15-20kilometers, the traffic is depending on the highroad

which is 10 km far from the site. After the special line of Xing County Weijia Tan Railway and the Kelan to Lan County railway joint together, it will be convenient in transportation.
