上海市房屋租赁合同

Leasing Contract of House in Shanghai

本合同双方当事人:Both parties of this contact:

出租方(甲方):Lesser (Party A)

承租方(乙方):Lessee (Party B)

根据《中华人民共和国合同法》、《上海市房屋租赁条例》(以下简称:《条例》)的规定,甲、乙双方在平等、自愿、公平和诚实信用的基础上,经协商一致,就乙方承租甲方可依法出租的房屋事宜,订立本合同。

According to the requirements of < The Contract Law of the People's Republic of China >, (called below for short), on the base of equality, voluntary, fair and honest, by negotiation, Party A and Party B signs this contract on the affairs that Party B rents the house legally from Party A.

一、出租房屋情况

1. Situation of renting the house

1-1 甲方出租给乙方的房屋座落在本市路弄号室 (以下简称该房屋)。该房屋出租实测建筑面积为平方米,土地用途为住宅、结构为钢混。甲方已向乙方出示:

1-1 The house that Party A rents to Party B locates in Room No. Lane , Road, District in Shanghai (called this house below for short). The real renting area of this house is square meters; the earth is used for residence, which is in the structure of steel and concrete. Party A should show the certificate to Party B:

【Rent】 : Certificate of the house [No. of certificate: ].

1-2 甲方作为该房屋的房地产权人与乙方建立租赁关系。签订本合同前,甲方已告诉乙方该房屋未 (已/未)设定抵押。

1-2 As the owner of the house, Party A builds the relationship of renting with Party B. Before signing this contract, Party A has told Party B that this house (have already/hasn’t been in a mortgage) .

1-3该房屋内提供设施清单详见附件。由甲、乙双方分别在本合同附件中加以列明。甲、乙双方同意该附件作为甲方向乙方交付该房屋和本合同终止时乙方向甲方返还该

房屋的验收依据。

1-3 The list of facilities in this house is clear on the attachment, which is separately listed by Party

A and Party

B in the attachment of this contract. Party A and Party B agrees to regard this attachment as the receiving evidence that Party A should turn over this house to Party B and Party

B should return this house to Party A when this contract is expired.

二、租赁用途

2. Use for renting

2-1 乙方向甲方承诺,租赁该房屋作为居住使用,并遵守国家和本市有关房

屋使用和物业管理的规定。

2-1 Party B promises to Party A that this house is rent for living and he will comply with the related regulations of house using and property management according to the nation and this city.

2-2 乙方保证,在租赁期内未征得甲方书面同意以及按规定须经有关部门

审批而未核准前,不擅自改变上述约定的使用用途。

2-2 Party B promises that during the lease term, unless it is agreed by Party A by written and is guaranteed by related governmental institute, Party B should not change the use fixed above without any reference.

三、交付日期和租赁期限

3. Date to turn over the house and the leasehold

3-1 甲乙双方约定,房屋租赁期自2010年9月25日起至 2011年9月24日止。甲

方于2010年9月25日向乙方交付该房屋

3-1 Party A and Party B comes to agreement that, the leasehold of this house begins from 2010-9-25 to 2011-9-24 。Party A should turns over this house to Party B on 2010-9-25 .

3-2 乙方需要继续承租该房屋的,则应于租赁期届满前二个月,向甲方

提出续租书面要求,经甲方同意后重新签订租赁合同。

3-2 If Party B wants to re-let this house, he should issue the requirement of re-let by written to Party B two months before the lease is expired and sign the lease again after Party A has agreed.

四、租金、支付方式和限期

4. Rent, form of payment and time limit

4-1 甲、乙双方约定,该房屋每日每平方米建筑面积租金为人民币_4.24_元,

出租月租金为人民币_ 元。(大写:壹_万_伍__仟__/ 佰_ / 拾__ /___元整)。

该房屋租金 12 月内不变。若乙方续租,双方可协商对租金进行调整。有关

调整事宜由甲、乙双方另行约定。

4-1 Party A and Party B come to agreement that the rent of this house is RMB4.24Yuan every day per square meters of the building area; the monthly rent is RMB Yuan.

The rent of this house will not change during 12 months. If Party B re-let this house, both parties can negotiate to adjust the rent and the related affairs of adjustment should be further engaged by both parties.

4 -2 甲、乙双方约定,甲方交付该房屋前,乙方应向甲方支付首期房屋月租金。以后每期租金,乙方应于每月 2

5 日前向甲方支付。逾期支付的,逾期超过三日,则以后每逾期一日乙方需按应付未付金额的0.5%支付违约金。

4-2 Party A and Party B come to agreement that before Party A turning over this house, Party B should submit monthly initial rent of this house to Party A in advance. After that, Party B should issue monthly rent to Party A on 25 of every month. As to the back payment, if the delay exceeds 3 days, then, Party B should pay the penalty at 0.5% of the monthly rental of Party B hasn’t paid per day.

4-3 乙方支付租金的方式如下:

4-3 The form of payment by Party B is just as follows:

4-4 甲方在收到租金后,需向乙方提供正式租赁发票。房屋租金如以现金方式支付则以甲方实际收到的日期为准;如以汇款形式或银行转帐形式则以人民币到帐之日为准。

4-4 After received the rent, Party A should issue the formal invoice of lease to Party B. If the rent of house is paid in cash, then, it should be on basis of the date on which party A really receives the money; if the rent is paid by remittance or by bank payment, then, it should be on basis of the date on which the money is received in RMB.

五、保证金和其他费用

5. C ash deposit and other fees

5-1 甲、乙双方约定,甲方交付该房屋前,乙方应向甲方支付房屋租赁保

证金,保证金为2个月的租金,即人民币元。甲方收取保证金后应向乙方开具收款凭证。租赁关系终止时,甲方收取的房屋租赁保证金除用以抵充合同约定由乙方承担的费用外,剩余部分无息归还乙方。

5-1 Party A and Party B come to agreement that before Party A truing over this house, Party B should pay the cash deposit of the house to Party A in advance, which is rent of two months, namely RMB Yuan. After Party A has received the deposit, he should issue receiving voucher to Party B. When the leasehold ends, besides charging against the fees that should be afforded by Party B according to the contract, Party A should return the rest of the cash deposit of the house to Party B interest-free.

5-2 租赁期间,使用该房屋所发生的水、电、煤气、通讯、设备及其他使用

费均由乙方承担。物业管理费由甲方 (甲方/乙方)承担,此费用核定依本小区物业收费标准。

5-2 During the leasehold, all the fess of using the house, such as fees of water, electricity, gas, communications, facilities and others should be afforded by Party B. The fees of property management should be afforded by Party A (Party A/ Party B)

5-3 双方承担的上述费用,需按规定及时支付,若因此造成对方损失,应承担赔偿责任。因乙方违反相应支付规定,而产生的违约金、损害赔偿金以及相关费用,甲方可在保证金中先行扣抵,造成保证金不足部分乙方必须在接到甲方书面付款通知后十天内补足。

5-3 The fees above that afforded by both sides should be paid in time according to the requirement; if causing loss to both sides, it should assume the liability of compensation. The penalty, compensation of loss and related fees that caused by Party B’s delay of payment, Party A can deduct it from cash deposit in advance, if the cash deposit is not enough, Party B should supplement it within 10 days after receiving the payment inform from Party A.

六、房屋使用要求和维修责任

6、Using requirement and repair responsibility of the house

6-1 租赁期间,乙方发现该房屋及其附属设施有损坏或故障时,应及时通

知甲方修复;甲方应在接到乙方通知后的3日内进行维修。逾期不维修的,乙方可代为维修,费用由甲方承担。

6-1 During the leasehold, when finding out damage or fault of the house and the subsidiary facilities, Party B should inform Party A to restoration; Party A should repair it within 3 days after receiving the inform from Party B. If the repair is delayed, Party B can repair it instead and the repairing fee should be afforded by Party A.

6-2 租赁期间,乙方应合理使用并爱护该房屋及其附属设施。因乙方使用

不当或不合理使用,致使该房屋及其附属设施损坏或发生故障的,乙方应负责维

修。乙方拒不维修,甲方可代为维修,费用由乙方承担。

6-2 During the leasehold, Party B should carefully and reasonably uses the house and subsidiary facilities. If the house and subsidiary facilities is damaged or goes wrong because Party B uses it not carefully enough or unreasonably, Party B is responsible to repair it. If Party B refuses to repair it, Party A can repair it instead and the fees should be afforded by Party B.

6-3 租赁期间,甲方保证该房屋及其附属设施处于正常的可使用和安全的

状态。甲方对该房屋进行检查、养护,应提前3日通知乙方。检查养护时,乙方应予以配合。甲方应减少对乙方使用该房屋的影响。

6-4 During the leasehold, Party A should ensure the usability and safety of the house and subsidiary

facilities. Party A should check and maintain the house and should inform Party B 3 days in advance. When checking and maintaining the house, Party B should give coordination. Party A should reduce the influence to the using of this house to Party B.

6-4 乙方另需装修或者增设附属设施和设备的,应事先征得甲方的书面同意,按规定向有关部门审批的,则需报有关部门批准后,方可进行。乙方增设的附属设施和设备及其维修责任于甲、乙双方另行书面约定。

6-4 If wanting to decorate or add subsidiary facilities or equipment to the house, Party B should ask Party A to agree by written, if is required, Party B should apply for the guarantee by related institute before carrying out. The subsidiary facilities and equipment added by Party B and the responsibility of repairing should be further appointed by both sides by written.

七、房屋返还时的状态

7. The status of house on return

7-1 除甲方同意乙方续租外,乙方应在本合同的租期届满后的当日内应返还该房屋,未经甲方同意逾期返还房屋的,每逾期一日,乙方应按_12.7_元/平方米/天(3倍日租金金额)人民币向甲方支付该房屋占用使用费。

7-1 Unless Party A agrees Party B to re-let the house, Party B should return the house on the very day of the deadline of this lease contract. If exceeding to return the house without agreement of Party A, for every day of delay, Party B should pay the occupancy expenses to Party A at RMB _12.7 Yuan/square meters/day (3 times of daily rent).

7-2 乙方返还该房屋应当符合正常使用后的状态。返还时,应经甲方验收

认可,并相互结清各自应当承担的费用。

7-2 When Party B returns the house, it should be in the same status with that after normal using. When returning, it should be inspected and then accepted by Party B and settle fees afforded by both sides.

八、转租、转让和交换

8. Sublease, transfer and exchange

8-1 除甲方已在本合同补充条款中同意乙方转租外,乙方在租赁期内,需

事先征得甲方的书面同意,方可将该房屋部分或全部转租给他人。但同一间居住

房屋,不得分割转租。

8-1 Unless Party A has already agreed Party B sublease this house in the complementary clauses of this contract, during the leasehold, Party B should get the written agreement in advance from Party A and then he can transfer the entire house or just one part to others. But the same room can not be divided and transferred to others.

8-2 在租赁期内,甲方如需出售该房屋,应提前二个月通知乙方,乙方在同等条件下有优先购买权。乙方在接到通知后10天内需予以书面回复,若乙方无书面回

复,视为其自动放弃优先购买权。

8-2 During the leasehold, if Party B wants to sell this house, he should inform Party B two months in advance and Party B has the priority of purchase under equal conditions. Party B should write back within 10 days after receiving the inform, if not, it will be regarded that Party B give up the priority automatically.

九、解除本合同的条件

9. Condition to terminate this contract

9-1 甲、乙双方同意在租赁期内,有下列情形之一的,本合同终止,双方

互不承担责任:

9-1 Both sides agree that during the leasehold, if there’s any conditio n happens as follows, this contract should be terminated and both sides will not assume any responsibility:

(一) 该房屋占用范围内的土地使用权依法提前收回的;

(1) Retake the right to use land of this house by law in advance;

(二) 该房屋因社会公共利益被依法征用的;

(2) The house is taken over for use by law for the public benefit

(三) 该房屋因城市建设需要被依法列入房屋拆迁许可范围的;

(3) For the requirement of constructing the city, this house is listed in the permitting scope

of clearance;

(四) 该房屋毁损、灭失或者被鉴定为危险房屋的;

(4) The house is damaged, ruined or be identified as dangerous house;

(五) 甲方已告知乙方该房屋出租前已设定抵押,现被处分的。

(5) Party A tells Party B that this house had already be mortgaged before leasing and now is

in disposal

(六) ________________________________________________。

9-2 甲、乙双方同意,有下列情形之一的,一方可书面通知另一方解除本合同。违反合同的一方,应向另一方按月租金的2倍支付违约金;给双方造成损失的,支付的违约金不足抵付一方损失的,还应赔偿造成的损失与违约金的差额部分:

9-2 Both parties agree that if there’s any following condition, one part can inform the other part in written form to terminate this contract. The part that breach the contract should pay penalty to the other side at twice of the monthly rent; if it causes loss to both parties and the penalty is not enough for to pay for the loss to one side, the guilty party should compensate the balance between the penalty and loss:

(一)甲方未按时交付该房屋,经乙方催告后7日内仍未交付的;

(1) Party A has not turned over the house on time and still hasn’t after been urged by Party B within 7 days;

(二)甲方交付的该房屋不符合本合同的约定,致使不能实现租赁目的的;或

甲方交付的房屋存在缺陷、危及乙方安全的。

(2)The house turned over by Party A does not comply with the requirement of this contract, which leading to that the aim of leasing can not be realized; or the house turned over by Party A has defect or endanger to the safety of Party B;

(三)乙方未征得甲方同意改变房屋用途,致使房屋损坏的;

(3)Party A changes the use of he house and leads to damage to the house without agreement by Party A;

(四)因乙方原因造成房屋主体结构损坏的;

(4) Causing damage to the main structure of the house by Party B;

(五)乙方擅自转租该房屋、转让该房屋承租权或与他人交换各自承租的房屋的;

(5)Party B unauthorized subleases this house, transfers the right of leas or exchange the respective house by lease with others;

(六)乙方逾期不支付租金连续超过1个月的,且经甲方书面通知十五天无效的;

(6) Party B delays to pay the rent and the delay continues for more than one month, and has been informed in written form by Party A that it will be in vain after 15 days.

十、违约责任

10. Responsibility of breach of contract

10-1如乙方未依约支付首期租金或履约保证金的,甲方有权不予交付房屋给乙方使用。如逾期支付超过起租日七日的,则甲方有权单方终止合同。

10-1 If Party B has not paid the down payment or the deposit, Party A has the right not to deliver the house to Party B. If the In case the rental is more than 7 working days overdue, Party A has the right to unilaterally terminate the contract.

10-2 因甲方未在该合同中告知乙方,该房屋出租前已抵押或产权转移已受到限制,造成乙方损失的,甲方应负责赔偿。

10-2 If Party A has not told Party B that before leasing this house has already been mortgaged or its property has already been transferred and limited, which causes loss to Party B, Party A should be responsible to compensation.

10-3 租赁期间,甲方不及时履行本合同约定的维修、养护责任,致使房屋损坏,造成乙方财产损失或人身伤害的,甲方应承担赔偿责任。

10-3 During the leasehold, If Party A dose not assume the responsibility to repair and maintain the house according to the requirement of the contract, which causes damage to the house and cause loss or hurt to Party B, Party A should assume the responsibility to compensation.

10-4 租赁期间,非本合同规定的情况甲方擅自解除本合同,提前收回该房

屋的,甲方除应返还已收取的租赁保证金外,还应按月租金的2倍向乙方支付违约金。若支付的违约金不足抵付乙方损失的,甲方还应负责赔偿。

10-4 During the leasehold, Party A unauthorized terminates the contract or retake the house in advance for the reason unfixed in the contract, besides returning the leasing deposit that received before, Party A should also pay penalty to Party B at twice of the monthly rent. If the penalty is not enough to pay for the loss to Party B, Party A should also assume the responsibility to compensation.

10-5 乙方未征得甲方书面同意或者超出甲方书面同意的范围和要求装修

房屋或者增设附属设施的,甲方可以要求乙方赔偿损失。

10-5 If Party B decorates or add subsidiary facilities to the house without agreed by Party A in the written form or beyond the scope and requirement by Party A in the written form, Party A can ask Party B to compensate the loss.

10-6 租赁期间,非本合同规定的情况,乙方中途擅自退租的,乙方应按月租金的的2倍向甲方支付违约金,违约金甲方可从租赁保证金中抵扣。若违约金不足抵付甲方损失的,乙方还应负责赔偿。保证金不足抵扣的,不足部分则由乙方另行支付。10-6 During the leasehold, for the condition unfixed in this contract, if Party B unauthorized throws the lease in the midway, Party B should pay penalty to Party A at twice of the monthly rent and Party A can deduct penalty form the cash deposit for lease. If the penalty is not enough to pay for the loss to Party A, Party B should also assume the responsibility to compensation. If the cash deposit is not enough for deduction, the lacking part can be further paid by Party B.

十一、其他条款

11. Other clauses

11-1 租赁期间,甲方需抵押该房屋,应当书面告知乙方,并向乙方承诺该

房屋抵押后当事人协议以折价、变卖方式处分该房屋前30日书面征询乙方购买该房屋的意见。(该房屋已设定抵押,承租方在签署本合同时已知晓该房屋已设定抵押)。11-1 During the leasehold, if wanting to mortgage this house, Party A should inform party B by written and should promise Party B that after mortgaging this house, the client should ask the opinion of Party B in the written form 30 days before they negotiate to dispose this house in discount or by sold up. (This house has been set for mortgage; while signing this contract, the lessee has already known that this house has been set for mortgage).

11-2 本合同自双方签字当日生效。

11-2 This contract comes into force on the very day of both sides signing it.

11-3 本合同未尽事宜,经甲、乙双方协商一致,可订立补充条款。本合同补充条款及附件均为本合同不可分割的一部分,本合同及其补充条款和附件内空格部分填写的文字与铅印文字具有同等效力。合同以中文版本为准,如需翻译为外文版本,

该外文版本只作为参考,不具法律效力。

11-3 As to unexhausted affairs of this contract, after negotiation both sides can fix complementary clause. The complementary clauses and the attachment is inalienable part of this contract. Words filled in the blacks of this contract, in the complementary clauses and in the attachment has equally legal validity with the printed words. The contract holds the Chinese edition as standard and if it is needed to be translated into foreign edition, the foreign edition is only for reference and is invalid.

11-4 甲、乙双方在签署本合同时,对各自的权利、义务、责任清楚明白,并愿按合同规定严格执行。如一方违反本合同,另一方有权按本合同规定索赔。

11-4 When signing this contract, both sides should make clear the respective right, duty and responsibility and carry out the requirement strictly according to the contract. If any side violates this contract, the other side has the right to claim for compensation according to the requirement of this contract.

11-5 甲、乙双方在履行本合同过程中发生争议,应通过协商解决;协商解决不成的,双方同意选择依法向人民法院起诉方式解决:

11-5 If both sides have dispute during this leasehold, they should negotiate to settle it and if not available, both sides agree to bring it into court by law.

11-6 本合同连同附件一式3份。其中:甲方持一份,乙方持一份,其余为备份,均具有同等效力。

11-6 This contract and the attachment should be in triplicate, among which, Party A holds one, Party B holds one and the other one is back-up and all of them are in equal legal validity.
