20.5 No Publicity 20.5 合同内容保密
The existence of this Contract, as well as its contents, shall be deemed to fall within the scope of Confidential Information and subject to Article 16, and shall not be disclosed in whole or in part to any person or entity, except (i) to Permitted Disclosure Parties, (ii) to authorized securities regulators or exchanges in accordance with Applicable Laws or the relevant rules of the securities exchange to which the Party in question is subject, (iii) to officials in relevant government departments pursuant to the requirements of Applicable Laws (iv) in order to fulfil any conditions precedent to the effectiveness of this Contract, (v) for the purpose of the performance by a Party of its obligations or exercise of its rights hereunder or relating hereto[, or (vi) to financial institutions for the purpose of arranging debt financing for either Party]. 本合同的存在及其内容应被认为属于保密信息，须遵照16 条进行保密，不得向任何人或实体予以全部或部分披露，但向以下各方的披露的除外：(i) 向允许披露方披露；(ii)依据有关法律或该方为规制对象的证券交易所的规则，得到授权的证券市场监管机构或交易所；(iii)依据有关法律向有关政府机构的官员披露；(iv)为了满足本合同的生效条件；(v)一方为履行其于本合同项下或与本合同相关的义务或行使其于本合同项下或与本合同相关的权利[；或者(vi)金融机构（为各方安排债务融资的目的)]。
20.6 No Solicitation 20.6 禁止招揽另一方雇员
Neither Party shall, during the Term or within one (1) year after the Expiration Date, directly solicit for employment the other Party's personnel who are engaged in the performance of this Contract without the prior written consent of the other Party. 在本合同有效期内以及合同期满日后一（1）年内，任何一方均不得直接向另一方参与本合同执行的雇员发出招聘要约，经另一方书面同意的除外。
20.7 Notices 20.7 通知
(a) Any notice or written communication provided for in this Contract by either Party to the

20.8 Waiver 20.8 不放弃权利
Either Party's failure to exercise or delay in exercising any right, power or privilege under this Contract shall not operate as a waiver thereof, and any single or partial exercise of any right, power or privilege shall not preclude the exercise of any other right, power or privilege. 如果一方未行使或延迟行使其在本合同项下的某项权利、权力或特权，不构成该方对此项权利的放弃，并且单独或者部分行使某项权利、权力或特权，并不妨碍其行使其他权利、权力或特权。

This Contract may not be assigned in whole or in part by any Party without the prior written consent of the other Party hereto, provided that Seller may solely upon written notice to Buyer assign Seller's rights to receive payments and other benefits of this Contract to one or more financial institutions for purposes of arranging debt financing or similar financial arrangements, but in such event Seller shall remain fully liable for the performance of its obligations under this Contract. 未经另一方事先书面同意，任何一方不

SCHEDULE A – DEFINITIONS AND INTERPRETATION 附录一- 定义和解释
Part A - Definitions 第一部分- 定义
Unless the terms or context of this Contract otherwise provide, the following terms shall have the meanings set out below: 除非本合同条款另有约定或上下文另有所指，下列用语的含义如下：
"Acceptance" in respect of any Equipment comprising any Shipment, means the acceptance by Buyer of such Equipment, as referred to and in accordance with Article 8.7. “验收”指就某一批合同设备而言，买方按照本合同第8.7 条的规定对该批设备进行的验收。“Acceptance Certificate” refers to the certificate in the form attached as Annex 6 to this Contract. “验收合格证书”指按照本合同附件6 格式出具的证书。
"Acceptance Test" refers to the series of tests of the Equipment set forth in the Acceptance Test Plan and performed before Installation by Buyer's fully qualified technical personnel. “验收测试”指由验收测试方案所规定的由买方完全合格的技术人员对

"Acceptance Test Plan” refers to the Acceptance Test Plan attached hereto as Annex 5 as such plan may be supplemented or revised in writing signed by the Project Supervisors. "aggrieved Party" shall have the meaning set out in Article 17.1. “受损害方”应具有第17.1 条中所给出的含义。

(a) in respect of any action to be taken in the PRC, any day on which the companies in the PRC are generally open for business in the PRC, including a Saturday or Sunday which
the PRC government temporarily declares to be a working day ("Working Rest Day"), but excluding a statutory holiday, or a Saturday or Sunday other than a Working Rest Day; and (a) 就在中国实施的行为而言，指中华人民共和国境内公司通常对外营业的任何一日,包括中国政府宣布为临时工作日的星期六或星期日("调休工作日"),但不包括法定节假日以
及调休工作日以外的星期六或星期日；

"Commissioning" shall mean the on-site testing of Equipment in accordance with the standard test procedures of Seller as described in the Documentation. “调试”指按照卖方

"Confidential Information" means any business, marketing, technical, scientific or other information disclosed by any Party (including in the case of Seller, its Affiliates) which, at the time of disclosure, is designated as confidential (or like designation), is disclosed in circumstances of confidence, or would be understood by the Parties, exercising reasonable business judgement, to be confidential. “保密资料”指某方（在本协议中如为[卖方]则也包括其关联机构）所披露的符合以下条件之一的商业、营销、技术、科学或其他信息：在披露时标明为保密（或有类似标记）的、在保密情况下披露的、或双方根据合理的商业判断应理解为保密资料的。

All Documentation delivered to Buyer shall be subject to any copyright and confidentiality restrictions. “相关文件” 指向买方和(或)买方提供的合同设备文件，其中包含合同设备的标准说明资料及有关工程、安装、运营及维护的说明。买方和(或)买方应遵守所有相关文件的版权及有关保密规定。
"Effective Date" means the date of this Contract first shown above or in Schedule B (Special Terms). “生效日”指本合同首页所载日期或附录二（特别条款）所载日前。
"Equipment" shall mean the Hardware, OEM Equipment and Software License. “合同设备”指设备硬件、OEM 设备以及设备软件使用权。
"Expiration Date" means the day on which the Term expires in accordance with the provisions of Article 14. “合同期满日”应具有第14 条中所给出的含义。指第14 条规定的合同有效期届满之日。

"Intellectual Property Rights" or "IPR" means any and all rights in any invention, discovery, improvement, utility, model, copyrightable work, industrial design or mask work, algorithm, data structure, trade secrets or know-how, Confidential Information, or any idea having commercial ＆#118alue. IPR shall include any trademark, trade dress, trade name, domain name, or other marks that serve to identify and distinguish goods or services as coming from, or falling under the control of, a single source. Where the provisions of the sales contract template are self-explanatory, no supplemental comments are provided below. References to Article numbers are to the relevant Article numbers of the sales contract.
Article Specific Drafting Notes
1 The definitions which are set out in Schedule A can be moved to this Article 1 if the parties so agree. The same is true for the Special Terms set out in Schedule B; however, the structure of this template is intended to focus the Parties on the commercial terms in Schedule B without need to modify the general terms in the main body of the contract in an effort to minimize negotiations (at least in respect of repeat transactions). Since frame contracts in respect of multiple purchase orders are not yet common in China, particularly for cross-border contracts for the importation of goods, this structure can operate as the functional equivalent with many of the same virtues and benefits. Accordingly, for potential repeat transactions, it is advisable to keep the Special Terms in a separate Schedule as proposed. Comments on the individual defined terms, to the extent necessary, are set out in respect of Schedule A and B below.
2.2 It is desirable to establish a single point of contact to manage the transaction relationship, particularly in respect of installation and acceptance works; however, this is a matter for the Parties to negotiate and agree in the context of the particular transaction. 4.2 and 4.3 This template contemplates that separate Delivery Payments and Acceptance Payments will be made on a Shipment-by-Shipment basis in order to improve the Seller's cash position.
4.6 No reference is made in this clause to passage of risk of loss as the relevant IncoTerms designation in Special Terms (Schedule B) should be sufficient in this regard.
5.7 This template contemplates liquidated damages ("LDs") only for late delivery due to Seller's fault. Alternatively, the Parties may provide for LDs only for late cut-over or late Acceptance.
8.2 This template assumes that Buyer is responsible for acquisition and preparation of the Installation Sites. If this responsibility may change from project to project, this can be included in Special Terms (Schedule B).
8.7 These Acceptance terms may be the subject of intense negotiation. Again, the intention is that once the general terms are settled, they will not need to be revisited for repeat transactions and the Parties can focus only on the Special Terms in Schedule B.
9.1 Seller should take care to tie the warranty to the Specifications. Buyer should ensure that the Specifications set out all relevant performance benchmarks.
9.2 and 9.4 This template adopts the fault-based warranty format commonly used in China rather than the format of a general warranty subject to specific limitations as is common in many other jurisdictions.
9.4 The coverage of OEM Equipment is a commercial matter. If included within the Seller's warranty, then Seller should ensure adequate back-to-back warranty coverage is provided by the OEM supplier.
10 This template contemplates that the Software License is provided by Seller (and not an Affiliate of the Seller) and that the Seller can accept the application of PRC governing law to the software license terms. If either of these assumptions is not correct in the context of a particular transaction, the Seller may elect to break this out as a separate agreement to be signed contemporaneously. This Software License is also abbreviated in form and may need to be supplemented to meet the internal policy requirements of Seller.
19.2 Two alternative arbitration provisions are presented in this template for
consideration, one for onshore CIETAC Rules arbitration, one for offshore SIAC Rules
arbitration in Singapore. There are many other possibilities for international arbitration,
such as ICC Singapore, Hong Kong HKIAC and so forth, depending on what is acceptable
to the parties in question. CIETAC arbitration typically is not preferred by foreign investors
for resolution of non-trade disputes, but is routinely proposed by Chinese parties as their
preferred choice of arbitration venue. The suggested CIETAC arbitration provisions set
out in the template are designed to ameliorate many of the more significant concerns most
foreign parties have in relation to CIETAC arbitration in this context. You would still need
to consider whether the enforcement of any CIETAC award could be refused on the
grounds set out in Article 260 of the Civil Procedure Law.
Neutral third-country arbitration is permitted and is the preferred option in most major
cross-border contracts. Such international arbitration awards if made in a New York
Convention member state are in principle enforceable in China under the New York
Convention (to which China is a party), subject to matters on which China expressed a
reservation when joining the New York Convention and/or grounds on which enforcement
can be denied under the New York Convention itself, notably where enforcement would
go against public policy. In addition to third-country arbitration in Singapore, international
arbitration in Hong Kong (enforceable in China under separate rules) and (historically)
Stockholm have been common for Sino-foreign joint venture contracts, and apart from
CIETAC Rules arbitration, most arbitration provisions usually contemplate Singapore,
Stockholm and Hong Kong as the place of arbitration. The appropriate arbitration
provisions for other arbitration venues should be determined in accordance with the
applicable laws and rules. Where cost is a major factor or the contract ＆#118alue is
relatively small, or where multiple parties are involved, consider appointing only one
arbitrator and revising the clause accordingly (care needs to be taken as having one
arbitrator as opposed to three raises its own issues). Note that in order to satisfy the
Chinese legal requirements for an arbitration agreement under the PRC Arbitration Law,
three elements must be present:
(a) an intention to arbitrate (problems may arise in practice where you have split clauses
which allow either court based proceedings or arbitration proceedings);

6 OEM Equipment 9.6 OME设备

h and are required for normal operation of the Equipment. . SOFTWARE LICENSE 10. 软件许可

ller hereby grants Buyer a personal, non-exclusive, non-transferable right to use the Software only in connection with signated Hardware on the terms set out in this Article 10 (su ch right being the “Software License”). Title to the Software all at all times remain vested in Seller or its relevant third party supplier. . INTELLECTUAL PROPERTY INDEMNITY 11. 知识产权赔偿

ller agrees to indemnify Buyer with respect to any suit, claim, or proceeding brought against Buyer alleging that Buyer's e of the Equipment constitutes an infringement of any patent or copyright registered in China (“Infringement Claim”) on the ms set out in this Article 11. 如果有人提出法律诉讼、指控、或行政程序(合称“侵权指控”)，声称买方使用合同设备侵犯了已在中国注册的专利权或者著作权，卖方同意按照第11 条规定的条款赔偿买方就此所承担的有关费用。

.4 Limitations of Indemnification 11.4 赔偿限额
ller's indemnity obligations under this Article 11 shall not apply to Infringement Claims if Seller's Equipment is: 有下列情形一的，卖方对侵权指控不承担第11 条所述的补偿义务：
manufactured, designed or supplied by Seller in accordance with any design or special instructions provided by Buyer; 引起侵权指控的合同设备是卖方根据买方的设计或特别指示而制造、设计或供应的；

.6 Return of Equipment 11.6 设备返还
Seller cannot perform under Article 11.5, Buyer shall have the right to return the affected portion of such Equipment to

. REPRESENTATIONS AND WARRANTIES 13. 陈述及保证

At any time prior to the Expiration Date, a Party (“Notifying Party”) may terminate this Contract through notice to the o ther rty in writing if: (c) 合同期满日之前，如果发生以下情形之一，一方（“通知方”）可随时向另一方发出书面通知后终止本合：
the other Party materially breaches this Contract, and such breach is not cured within the Cure Period granted pursuant to ticle 17.1(a); or (i) 另一方违反本合同某一重要义务，且未在通知方根据17.1(a)条规定发出的书面违约通知中规定的补救期对违约予以补救；或

.3 Confidentiality Rules 16.3 保密规则

. BREACH OF CONTRACT 17. 违约
.1 Remedies for Breach of Contract 17.1 违约救济措施

. FORCE MAJEURE 18. 不可抗力
.1 Definition of Force Majeure 18.1 不可抗力的定义
orce Majeure" shall mean all events which are beyond the control of the Parties to this Contract, and which are foreseen, unavoidable or insurmountable, and which prevent total or partial performance by either of the Parties. Such ents shall include earthquakes, typhoons, flood, fire, war, strikes, riots, acts of governments, changes in law or the plication thereof or any other instances which cannot be foreseen, prevented or controlled, including instances which are cepted as Forc e Majeure in general international commercial practice. “不可抗力”指超出本合同双方控制范围、无法预见、法避免或无法克服、使得本合同一方部分或者完全不能履行本合同的事件。这类事件包括但不限于地震、台风、洪水、火灾、争、罢工、暴动、政府行为、法律规定或其适用的变化，或者其他任何无法预见、避免或者控制的事件，包括在国际商务实中通常被认定为不可抗力的事件。
.2 Consequences of Force Majeure 18.2 不可抗力的后果
If an event of Force Majeure occurs, a Party's contractual obligations affected by such an event under this Contract shall suspended during the period of delay caused by the Force Majeure and shall be automatically extended, without penalty liability, for a period equal to such suspension. (a) 如果发生不可抗力事件，一方在本合同项下受不可抗力影响的义务在不抗力造成的延误期间自动中止，并且其履行期限应自动延长，延长期间为中止的期间，该方无须为此承担违约责任。
The Party claiming Force Majeure shall promptly inform the other Parties in writing and shall furnish within [fifteen (15)] ys thereafter sufficient proof of the occurrence and duration of such Force Majeure. The Party claiming Force Majeure

. SETTLEMENT OF DISPUTES 19. 争议的解决

.2 Arbitration 19.2 仲裁

In the event such dispute is not resolved through consultations within [sixty (60)] days after the date such consultations ere first requested in writing by a Party, then any Party may submit the dispute for arbitration in [Beijing] before the China ernational Economic and Trade Arbitration Commission ("CIETAC") in accordance with CIETAC Arbitration Rules then in ce, and as amended by this Article 19.2 ("Arbitration Rules"). The arbitration tribunal shall consist of three arbitrators, one appointed by each Party and, if either of the Parties fails to point an arbitrator within the time specified in the Arbitration Rules, the Chairman of CIETAC shall make such pointment, taking into consideration the criteria set out in this Article 19.2. A third arbitrator (the "Presiding Arbitrator") shall be appointed by agreement between the Parties in accordance with the ovisions of Articles 19.2 (d) and (e) below, and, if the Parties fail to jointly appoint the Presiding Arbitrator within the time ecified in the Arbitration Rules, the Chairman of CIETAC shall make such appointment, taking into consideration the

The arbitration proceedings shall be conducted in the English language. (f) 仲裁程序应当以英语进行。

In the event the dispute is not resolved through consultations within [sixty (60)] days after the date such consultations ere first requested in writing by a Party, then any Party may submit the dispute to Singapore International Arbitration entre ("SIAC") for arbitration in Singapore in accordance with the Arbitration Rules of the SIAC then in force, and as mended by this Article 19.2 ("Arbitration Rules"). to comply with and to carry out, in full and without delay, any procedural orders (including, without limitation to, any

.4 Enforcement of Award 19.4 裁决的执行

undertakes that it will execute and perform the arbitral award fully and without delay. waives any rights which it may have to contest the validity of the arbitration agreement set forth in this Article or the isdiction of the relevant arbitration institution to hear and to determine any arbitration begun pursuant to this Article 19. .1 Independent Contractor Relationship 20.1 合同双方之间的独立关系
e Parties are only establishing an independent contractor relationship with each other by entering into this Contract. othing in this Contract shall be construed or implied as: 合同双方签订本合同仅仅在他们之间产生独立合同关系。本合同任条款均不得被解释为：
establishing between the Parties hereto any partnership or any other form of relationship entailing joint liability; (a) 在合双方之间形成合伙关系或其他导致共同责任的关系；
constituting either of the Parties hereto as the agent of the other Party (except with the other Party's prior written nsent); or (b) 使任何一方成为另一方的代理人（另一方事先书面同意的除外）；
